Terms of Service
Last updated: 12 October 2026
1. Who We Are
Argus.ai Solutions ("Argus", "we", "our") builds, hosts and runs automation for businesses, such as onboarding, approvals, documents, reminders, quotes, reporting, prospecting and enquiries, including chat and voice agents that work inside rules the business approves. We are based in Singapore. These terms apply whenever you engage us for services, use our website, or interact with a system we operate on a client's behalf. Our contact email is hello@argusaisolutions.com.
2. Services
We offer services on two general bases:
- →Managed systems (e.g. Desmo, Odeon, and Helios): we build, host, and operate the system on your behalf for a setup fee plus a recurring monthly fee.
- →Custom builds (e.g. Arcadia): we build a system to your specification, then host and operate it on your behalf on the same basis as managed systems.
The exact scope, deliverables, and timeline for any engagement are set out in the proposal or agreement for that engagement, which takes precedence over the general descriptions on this website if the two conflict.
3. Fees, Subscriptions & Refund Policy
Setup fees are due before work begins unless otherwise agreed in writing. Recurring fees for managed systems are billed monthly in advance, as stated in your proposal; we do not charge fees that are not set out there. Late payment may result in suspension of a managed system until payment is received.
- →Onboarding and custom setup fees. Because of the labour involved in building and setting up your automation, connecting it to your apps (for example WhatsApp, voice, email, calendar and CRM), and allocating third-party resources up front, all implementation, onboarding and custom setup fees are strictly non-refundable once development or discovery configuration has begun.
- →Subscription cancellation. Recurring services are billed month to month. You may cancel by giving us 30 days' written notice at hello@argusaisolutions.com. Fees remain payable until the notice period ends.
- →Subscription refunds. We do not give prorated refunds for part of a month. After you give notice, your system stays active until the notice period ends, then the subscription ends and your data is handled under the 30-day retention and deletion terms in Section 5 of our Privacy Policy.
- →Technical fault exception. If a system we host is completely unusable for more than three (3) consecutive business days because of a failure caused solely by our own code or infrastructure, you may ask us for a service credit or prorated refund, which we may grant at our discretion. This does not apply to outages of third-party services (for example Meta/WhatsApp, Cerebras, Groq, OpenRouter, Google or Cloudflare).
Fees already paid are non-refundable except as set out in this section, where required by law, or where we agree otherwise in writing.
4. Client Responsibilities
- →Providing accurate information needed to configure and operate your system (business details, account access, content, pricing, policies).
- →Reviewing and approving content or actions that our systems are designed to route to you for approval before they go out.
- →Complying with the terms of service of any third-party platform your system connects to (e.g. WhatsApp, Meta, Google); those platforms' own rules apply independently of this agreement.
5. Intellectual Property
For all systems, including custom builds, the underlying code, platform, workflows, and infrastructure remain our property. You have the right to use the system for your business for as long as you remain a paying client, but you do not receive the underlying code or a license to operate it independently.
6. Service Availability
We build for high availability and monitor our systems continuously, but we do not guarantee uninterrupted service. Third-party dependencies (AI providers, messaging platforms, cloud infrastructure) can affect availability outside our control. We will make reasonable efforts to notify you of any significant planned or unplanned downtime affecting your system.
7. Human Oversight
Our systems act only inside the rules you approve. Anything outside those rules, and any action a system would start on its own, such as sending a follow-up, issuing a document or publishing a post, is held for your approval before it happens, unless you have agreed in writing to automate that action. You are responsible for reviewing items routed to you for approval in a timely manner; we are not responsible for outcomes caused by approvals or rejections not being actioned on your end.
8. AI-Generated Output
Our systems use AI language models, which can produce inaccurate, incomplete or unexpected responses, and speech recognition and telephony can mishear, drop or miss calls and messages. We design our systems to ground answers in information you provide and to route actions outside your rules to you for approval, but we do not warrant that any AI-generated output is accurate, complete or fit for a particular purpose. You are responsible for reviewing the information, policies and prices you give your system, for how you rely on its output, and for any professional, medical, legal or financial matters it touches. It is not a substitute for professional advice. Our systems tell people they are talking to an AI where this is relevant.
9. Limitation of Liability
To the maximum extent permitted by law, our liability for any claim arising from these terms or our services is limited to the fees you have paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities, or for losses arising from inaccurate AI-generated output, missed or dropped calls or messages, or third-party platform outages, arising from use of our systems. Nothing in these terms excludes liability that cannot be excluded by law.
10. Termination
Either party may terminate a managed-system engagement with 30 days' written notice (for you, as set out in Section 3). We may suspend or terminate service immediately if payment is significantly overdue or if you use our systems for an unlawful purpose. On termination, we will provide reasonable assistance to transition or wind down the service, subject to a separate agreement if that requires additional work.
11. Governing Law
These terms are governed by the laws of Singapore. Any dispute arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Singapore.
12. Changes to These Terms
We may update these terms from time to time. The "last updated" date at the top of this page reflects the most recent revision. Continued use of our services after a change constitutes acceptance of the updated terms.
13. Contact
